License
License terms governing your use of the Viewmax software and services.
1. License Grant
Viewmax grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Viewmax application and related services (collectively, the "Services") solely for creating and editing your own video projects. All rights not expressly granted are reserved by Viewmax.
2. Ownership
The Services, including all software, documentation, interfaces, designs, databases, and content provided by Viewmax (excluding Your Content as defined below), are owned by or licensed to Viewmax and are protected by intellectual property laws. This License does not transfer ownership of any Viewmax intellectual property.
3. Your Content
You retain all rights to any videos, audio, images, text, data, or other materials you upload or create using the Services ("Your Content"). You represent that you have all necessary rights to use and process Your Content with the Services. You grant Viewmax a limited license to host, process, transmit, and display Your Content only as necessary to provide and improve the Services.
4. Restrictions
You may not (a) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services; (b) resell, rent, lease, lend, or sublicense the Services; (c) use the Services to violate applicable law or third-party rights; (d) access the Services in a manner intended to avoid incurring fees or to exceed usage limits; or (e) remove or obscure proprietary notices.
5. Third-Party Content and Services
Certain features may rely on third-party services or content. Viewmax is not responsible for third-party services, content, or policies. Your use of such services may be subject to separate terms.
6. Updates
Viewmax may provide updates or changes to the Services. Updates may modify or remove features. Continued use of the Services after an update constitutes acceptance of the update.
7. Termination
This License is effective until terminated. Viewmax may suspend or terminate access to the Services for violations of these terms or for security, legal, or operational reasons. Upon termination, your right to use the Services ceases, but Sections 2, 8–11 survive.
8. Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VIEWMAX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIEWMAX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL VIEWMAX'S TOTAL LIABILITY EXCEED THE GREATER OF (i) $50 USD AND (ii) THE AMOUNTS PAID BY YOU TO VIEWMAX FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT INCREASE THIS CAP.
10. Indemnity
You agree to indemnify and hold harmless Viewmax from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content or your use of the Services in violation of this License or applicable law.
11. Governing Law and Disputes
These terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising out of or relating to this License is subject to the dispute resolution and binding individual arbitration provisions (including the class action and jury trial waivers) in our Terms of Use. For any claim not subject to arbitration, venue lies exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
If you are accepting these terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
